# NDA Triage — Bangladesh **Config gate:** requires attorney-approved `### NDA triage positions` in `~/.claude/plugins/config/claude-for-legal-bd/bd-commercial-legal/CLAUDE.md`. GREEN can never issue against defaults or unapproved positions — if positions are absent or marked `[unapproved]`, the ceiling is YELLOW and the output must say why. Also read `templates/nda-playbook-bd.md` (legal frame) and root guardrails. ## Scope check first If the "NDA" contains more than confidentiality — licences, exclusivity, standstill, non-solicit/non-compete, IP assignment, ROFR, broad arbitration of non-confidentiality disputes — it is not an NDA. **Auto-YELLOW minimum**, name the smuggled provisions. A non-compete of any kind: **RED** (Contract Act 1872 s.27 — void, and its presence signals a counterparty drafting against Bangladesh law). ## Bangladesh screen (mandatory, before playbook) 1. s.27 restraint riders → RED as above. 2. Residuals clause → RED by default (no trade-secret statute backstop; the NDA is the entire protection). 3. Liquidated damages → penalty screen (s.74); one-way penalty-style → YELLOW/RED. 4. Governing law/forum: exclusive foreign courts without arbitration → YELLOW (enforcement gap, CPC s.13/44A); arbitration acceptable per playbook. 5. Stamping note in every output: stamp before/at execution (Stamp Act 1899 s.35). 6.
